4. Licence documents
This Order Form incorporates the following documents, in the fixed Versions stated. They apply in the order of precedence in clause 3.1 of the Data Terms (this Order Form, the Schedule, the Source Conditions Schedule, the Data Terms), subject always to clauses 3.3 to 3.5 of the Data Terms and the clauses that clause 3.4 lists, which nothing in this Order Form, including a special term, overrides.
The special terms in section 5 are the Evaluation Terms, Version 2026-10-13, published at https://www.tradingagentapp.com/licences/evaluation/2026-10-13, SHA-256 of their text a23dc649601e565971ce3ab270d96c25ec2c62bffde5d5bc56a074050b80e699.
5. Special terms
None, unless written here. Each special term must name the clause it changes (Data Terms clause 3.4).
No special term may remove or shorten a Source Register's Attribution Notice (Data Terms clause 8.4), displace Data Terms clause 7.6 (Upstream changes), restrict rights under an open licence (Data Terms clause 7.4; Source Conditions Schedule clause 3.8), sublicense New Zealand Charities Register data (Data Terms clause 5.1), change Data Terms clause 30.1 for Redistribution, All markets with redistribution or an OEM Agreement, limit Data Terms clause 17.1, or displace Data Terms clause 19 (Data Terms clause 3.4).
β Public institution: clause 30.3 of the Data Terms does not apply; the New Zealand courts have non-exclusive jurisdiction over any dispute (this special term changes Data Terms clauses 30.3 and 30.5).
β Public body that cannot by law give an indemnity, holding Redistribution, All markets with redistribution or an OEM Agreement: clause 18.4(a) to (c) of the Data Terms applies to this Licence (this special term changes Data Terms clause 18.4).
Evaluation Terms, Version 2026-10-13. These are the special terms of an Evaluation Order Form: an Order Form for the Free Licence with an evaluation key, at no charge. Words defined in the Data Terms have the same meaning here. Each special term names the clause it changes (Data Terms clause 3.4). None of them changes a clause that clause 3.4 of the Data Terms says an Order Form never overrides, and clause 3.5 of the Free Licence Schedule, clause 7.4 of the Data Terms and clause 3.8 of the Source Conditions Schedule (rights under open licences) apply despite them.
E1. The evaluation key. The evaluation key is a free API key that gives, for the Evaluation Period, access through the per-company API to the full filing history of an entity and to the as_of point-in-time query, for up to 1,000 distinct entities. An entity is counted the first time Data about it is delivered to the key; the sample entities we publish with full history are not counted, and requests for further entities are refused. The key does not give bulk files. The "Evaluation Period" starts when we first issue an evaluation key to the email address in section 1 and ends 30 days later, or on a later date we give by written notice to that address (writing includes email: Data Terms clause 2.3); the key stops working when it ends. If that address already holds a working evaluation key when this Order Form is signed (for example, because the key was lost), the key issued under this Order Form replaces it: the earlier key stops working, and the Evaluation Period and the entity count continue from the first key, without starting again. The key is subject to the rate limits published in the Documentation for evaluation keys, as clause 6.1 of the Free Licence Schedule provides; at the date of this Version they are 120 requests a minute and 2,000 requests a day (UTC) per key, across all endpoints. "Evaluation Data" means Data obtained with any evaluation key issued to that address, and it is Free Data (this special term changes Free Licence Schedule clause 1.2, by adding the evaluation key to its channels).
E2. Who may hold one. An evaluation key is issued to an organisation, at the request of an individual who uses an email address at a domain the organisation controls and who signs this Order Form for it. We issue one evaluation key for each email domain (its registrable domain, so that a.example.com and b.example.com are one), unless we agree otherwise in writing. Individuals, and requests from a personal email address, use the standard free key instead (this special term changes Free Licence Schedule clause 2.1).
E3. What Evaluation Data may be used for. The Licensee's Authorised Users (Free Licence Schedule clause 2.2) may use Evaluation Data only to evaluate whether Trading Agent Data suits the intended use stated in section 2 β for example its coverage, format, field definitions, filing dates and fit with the Licensee's systems β including in prototypes and other non-production systems, and including testing machine-learning and AI models within that scope (Data Terms clause 24.1). Clauses 3.2 to 3.4 of the Free Licence Schedule (Internal Use, Aggregated Results and Insubstantial Extracts) do not apply to Evaluation Data. The Licensee must not use Evaluation Data, or anything created from it, including Aggregated Results and a model trained on it, in a production system, to provide a product or service to anyone, or in any work delivered to a client or other third party, and must not Redistribute it (this special term changes Free Licence Schedule clauses 3.2 to 3.4 and Data Terms clause 5.5).
E4. Keys. Clause 4 of the Free Licence Schedule and clause 6 of the Data Terms apply in full. In particular, the Licensee must not use more than one evaluation key, or other keys, accounts or IP addresses, to read Data at full depth for more entities, or for longer, than these special terms allow. The evaluation key may be used only by the Licensee's Authorised Users and its own systems, as clause 20.1 of the Data Terms provides for a Commercial key (this special term changes Data Terms clause 20.1).
E5. When the evaluation ends. Within 30 days after the Evaluation Period ends, or after the Free Licence ends if that is sooner, the Licensee must stop using Evaluation Data and delete it, including Derived Data, from its systems and those of its service providers, unless by then it holds a paid Licence that covers that Data. It may keep its notes and conclusions about the evaluation if they contain no more than Insubstantial Extracts of Evaluation Data, and the copies that clause 16.6(c)(iii) and (iv) of the Data Terms allow. Clause 6.5(b) of the Free Licence Schedule does not apply to Evaluation Data, and clause 11 of the Data Terms (Deletions Feed) applies while the Licensee holds any. This special term does not apply to material the Licensee holds under an open licence (Data Terms clause 7.4) (this special term changes Free Licence Schedule clause 6.5 and Data Terms clause 16.6).
E6. The business box. If the Licensee answered "no" in declaration 6.2, clauses 18 and 30.3 of the Data Terms do not apply to this Licence, as clause 4.3 of the Data Terms provides for a free key requested without the separate business box (this special term changes Data Terms clauses 18 and 30.3).
E7. Information about the signatory. When an evaluation key is requested we record the name, job title, work email address, organisation, country, registration number (if given) and intended use entered in the request; the box ticked, the name typed and the time of signing, with the IP address and browser details of the request and of the signature; this Order Form as signed, with its SHA-256; and how the key is used. We use them to prepare this Order Form, to issue and administer the key, to keep the record of this Order Form for the life of the Licence plus seven years (Data Terms clause 4.6), to prevent misuse, and to write by email about the evaluation; tell us to stop writing about it and we will, apart from notices under the Licence. A request whose Order Form was not signed by both parties is deleted 30 days after its signing link expired. Clause 12.6 of the Data Terms applies, and our notice is at https://www.tradingagentapp.com/privacy#data-customers (this special term changes Data Terms clause 12.6, by adding to it).
6. Declarations
6.1 Purchase-order terms excluded. Any terms in or referred to by the Licensee's purchase order, supplier portal, vendor registration, procurement system or similar document do not form part of this agreement and have no effect, even if WU Capital Limited signs, acknowledges or performs against that document, unless adopted by name in section 5. Any later amendment must meet clause 27.6 of the Data Terms.
6.2 Entire agreement. This Order Form and the documents in section 4 are the entire agreement about the Data. The Licensee confirms whether clause 19.2(i) and (ii) of the Data Terms are true of it (it is in trade, and acquires the Licence in trade): β yes β no. If they are, the parties agree to contract out of the Consumer Guarantees Act 1993 and of sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 as clause 19.2 of the Data Terms states, clause 31.2 of the Data Terms applies, and the parties agree this is fair and reasonable because, among the reasons in clause 19.2(c) of the Data Terms, the Licensee could negotiate this Order Form, including special terms under section 5. If they are not (for example, an institution that acquires an Academic Snapshot otherwise than in trade), clauses 19.2 and 31.2 of the Data Terms do not apply.
6.3 Sanctions. The Licensee makes the representation in clause 23.1 of the Data Terms.
6.4 Delivery. Nothing is delivered until both parties have signed and, for a Snapshot, Redistribution, All markets with redistribution or an OEM Agreement, until the first payment is received, unless section 3 says otherwise (Data Terms clause 14.3).
6.5 Signatures. Electronic signatures are accepted (Data Terms clause 31.7). Each signatory confirms that they are authorised to sign for their party.
6.6 Academic Snapshots. Not applicable: no Academic Snapshot is ordered.
6.7 Account terms excluded. Any account that the Licensee or its Authorised Users create or use to receive, download or manage Data or keys under this Order Form is used only under the documents in section 4. The Terms of Service at https://www.tradingagentapp.com/terms, and any other click-through or website terms shown when creating or using that account, do not apply to the Licensee, its Authorised Users or that account. No individual who accepts them for the Licensee is bound by them personally.
6.8 Onward supply (Redistribution, All markets with redistribution, and OEM). Not applicable: no Onward Supply Licence is ordered.
6.9 OEM Agreements. Not applicable: no OEM Agreement is ordered.
