Company Report and Filing Alerts Schedule
1. This Schedule
1.1 This is the Schedule for two products: the Company Report and Filing Alerts. For either of them it is "the Schedule for your tier" in clause 3.1(b) of the Data Terms, and a Schedule as the Data Terms use that word. It incorporates the Data Terms and the Source Conditions Schedule, which rank as set out in clause 3 of the Data Terms. Words defined in the Data Terms have the same meaning here.
1.2 Unless this Schedule says otherwise, the Data Terms apply to a Company Report as they apply to a Snapshot, and to Filing Alerts as they apply to a Commercial Subscription. In particular, a Company Report is a Snapshot for clause 17.3(b) of the Data Terms, and Filing Alerts are a Subscription for clauses 14.2, 15.1, 15.1A, 16.1(b), 17.3(a) and 27.2. The Snapshot Schedule and the Commercial Schedule do not apply. This Schedule does not change clause 17, 18 or 19 of the Data Terms.
2. The Licensee
2.1 One person or organisation, named at checkout: a company or other legal entity, or an individual acting in the course of their own business (including a sole trader). You confirm that you buy in trade (Data Terms clause 4.7). Related companies are not covered.
3. Company Report
3.1 What it is. The Data we hold for one named company, in a market listed in clause 5: a CSV file with every figure and its filing date, and a page that shows the main figures by period.
3.2 Delivery. Both are on your account at https://www.tradingagentapp.com/account/company-reports, signed in to the account that bought the report, for 12 months after we send the order confirmation email. They are read from our data when you open them, so a later filing appears and a record since withdrawn does not.
3.3 Fee. One payment, as shown at checkout. There is no renewal. Clause 15.3 of the Data Terms applies, with that address in place of the Snapshot address and the date of that email as the Delivery Date.
3.4 Term. You may keep the files you downloaded, for Internal Use, after the 12 months. Your Licence for them ends only as clause 16.1(c) of the Data Terms provides for a Snapshot.
4. Filing Alerts
4.1 What they are. You name the companies you watch, in a market listed in clause 5, up to the number your plan allows. When our Data shows a filing for one of them with a filing date later than the one we last held, we email you once and state in neutral terms what the filing shows: that accounts were filed, that equity is negative, that the period shows a net loss. We link to the official register where one exists.
4.2 Timing. An alert follows our own collection of each market, not the filing itself. It can come well after the filing, and a filing we do not collect sends no alert. No alert is promised for any time, and clause 22.1 of the Data Terms (service levels) does not apply. The absence of an alert says nothing about a company.
4.3 Fee. Monthly, in advance, as shown at checkout, renewing until cancelled. You may cancel at https://www.tradingagentapp.com/account/filing-alerts as well as at the address in clause 15.1 of the Data Terms.
4.4 After it ends. Clause 16.6 of the Data Terms applies, except that you may keep the alert emails you received, for Internal Use.
5. Markets
5.1 Company Report: United States, Taiwan, Korea, Japan, Belgium, Denmark, Estonia, Slovakia, Latvia and New Zealand charities. Filing Alerts: the same, without New Zealand charities.
5.2 Neither product covers France, Sweden or Australia, and neither gives you any right in the Data of a market it does not cover.
5.3 The Source Conditions Schedule applies to each market. It includes these points. Danish Data must not be used for direct marketing, or to build, select or enrich marketing or contact lists (clause 3.2(c)). Belgian annual accounts are also available free of charge from the National Bank of Belgium at https://consult.cbso.nbb.be, and Belgian Data is not an official copy of the accounts filed (clause 3.3(c) and (e)).
6. What you may and may not do
6.1 You may use the Data for Internal Use, including credit, purchasing and onboarding decisions about the companies concerned. You may share outside the Licensee only: (a) Aggregated Results; (b) Insubstantial Extracts, with their Attribution Notices; and (c) Data disclosed to your auditors, regulators and professional advisers where needed, under a duty of confidence.
6.2 You may not: display the Data in a product, website, newsletter or service used by people outside the Licensee; resell or supply it to anyone; use a series of Company Reports or a watch list to assemble a copy of a substantial part of a market; use it for direct marketing to natural persons; or do anything clause 6 of the Data Terms forbids.
6.3 Nothing in this Schedule restricts Directly Licensed Data (New Zealand charities and Estonia), which its Source Register licenses to you directly (Data Terms clauses 5.1 and 7.4).
7. Withdrawn records
7.1 Clause 11.5 of the Data Terms applies, and we will email you its notice for a record of a company whose report you hold or which you watch. For these products you need not otherwise check the Deletions Feed, clause 11.3 does not apply, and we send no email under clause 11.6. You may keep a record listed for another reason as a record of what the register published, unless clause 7.6 of the Data Terms applies, or we withdrew it under clause 10.3(c) of the Data Terms because we did not have the right to license it.
8. What these products are not
8.1 They state facts taken from filings. They are not a credit rating, a score, a recommendation or a forecast, and they are not credit information. A missing filing can mean a merger or a closure, not only financial trouble. They are not an official copy of any filing: check a company's legal status in its register before relying on it. Clause 13 of the Data Terms applies.
