Academic Institution Licence
1. This Schedule
1.1 This is the Schedule for the Academic Institution Licence. For that Licence it is "the Schedule for your tier" in clause 3.1(b) of the Data Terms, and a Schedule as the Data Terms use that word. It incorporates the Data Terms and the Source Conditions Schedule, which rank as set out in clause 3 of the Data Terms. Words defined in the Data Terms have the same meaning here.
1.2 An Academic Institution Licence is a Subscription with a billing period of one year. Unless this Schedule says otherwise, the Data Terms apply to it as they apply to a Commercial Subscription bought by Order Form, in particular clauses 14.2 (as clause 8.2 changes it), 15.1A, 16.1(b), 17.3(a) and 27.2. Clause 22.1(b) to (f) of the Data Terms (service level and credits) does not apply; clause 22.1(a) applies to it as it does to a Personal Licence, and for clause 22.5 of the Data Terms it is one of the "other Licences". The Commercial Schedule and the Snapshot Schedule do not apply, except where this Schedule says so. This Schedule does not change clause 17 or 19 of the Data Terms, and it does not reduce the Licensee's liability under clause 18.
2. The two licences
| Licence | List price at the date of this Version | Who it covers |
|---|---|---|
| College | US$4,900 a year | One named college, faculty or school of a university; or the whole of a Teaching University |
| Campus | US$9,800 a year | The whole of one named campus of a Research University |
2.1 Teaching and Research Universities. A "Teaching University" is a university, college or other higher-education institution that does not award research doctorates (such as a PhD or DPhil). Any other university is a "Research University". The Licensee states which it is in the Order Form. If a Teaching University begins to award research doctorates, its College Licence continues to the end of the Licence Year, and a renewal for the whole institution is a Campus Licence.
2.2 College, faculty or school. One academic division of a university with its own dean or head, named in the Order Form, such as a business school or a faculty of economics. It includes the departments, schools and research centres within it, but no other division, even one that shares its teaching. A single department is covered by the Academic Snapshot (Snapshot Schedule clause 6).
2.3 Campus. The university's teaching and research sites in one city or metropolitan area named in the Order Form, with every faculty and department at those sites, and enrolled distance-learning students of programmes run from them. It does not include other campuses, branch campuses abroad, affiliated or associated colleges, teaching hospitals, institutes that are separate legal entities, or companies and commercial arms owned by or connected with the university, unless the Order Form names them and states the Fee for them.
2.4 Whole Teaching University. For a Teaching University licensed as a whole, every campus it runs in the country named in the Order Form.
2.5 The college, faculty, school, campus or Teaching University named in the Order Form is the "Licensed Unit".
2.6 Emissions Data is not included. Clause 5.1A of the Data Terms applies: this Licence covers Emissions Data only if an Order Form names it, for a Fee stated there.
3. The Licensee, ordering and Fees
3.1 The Licensee is the university or other higher-education or public research institution named in the Order Form, as a legal entity. We sell this Licence only by an Order Form signed by both parties, by a person authorised to contract for the institution, and by invoice; it is not sold at online checkout. We do not sell it to a member of staff, a student or a student society personally, or to a company owned by the institution.
3.2 The Order Form records the Licence (College or Campus), the Licensed Unit, whether the Licensee is a Teaching or a Research University, the Data Administrators (clause 5.1), the access method (clause 4.3), the number of API keys (clause 5.3) and the Start Date.
3.3 Fees. The list price in clause 2, or the annual Fee stated in the Order Form, invoiced annually in advance. Prices exclude Taxes (Data Terms clause 14). We change the Fee only from the start of a Licence Year, and we give notice of a change at least 30 days before it takes effect (Data Terms clause 14.2). Unless the Order Form says otherwise, we issue keys and bulk files after the Order Form is signed and the first invoice is paid (Data Terms clause 14.3).
3.4 Tax. Clause 14.10(c) of the Data Terms (gross-up for withholding) does not apply. We accept the net amount if tax is withheld, provided the Licensee complies with clause 14.10(a) and (b) of the Data Terms.
4. Authorised Users
4.1 Who they are. While they hold that status: (a) staff: employees of the Licensee whose appointment is in the Licensed Unit (academic staff, researchers, research and teaching assistants, and the library and research-support staff who serve the Licensed Unit), and visiting, honorary or adjunct academics appointed to the Licensed Unit, for the period of their appointment; and (b) students: students enrolled in a programme of study run by the Licensed Unit and, for that course only, students of the Licensee enrolled in a course the Licensed Unit teaches. Under a Campus Licence, or for a whole Teaching University, the Licensed Unit is the whole campus or institution, so (a) and (b) cover all its staff and enrolled students.
4.2 Who they are not. Alumni; former staff and students; walk-in users of a library; members of the public; staff and students of other institutions, except co-authors under clause 6.5 and editors and referees under clause 6.6; contractors, except service providers under clause 5.4 of the Data Terms; and anyone using the Data for a company owned by or connected with the Licensee.
4.3 Access control. The Licensee must make the Data available only on its own access-controlled systems (or a service provider's under clause 5.4 of the Data Terms), and only to Authorised Users authenticated by either: (a) the Licensee's network or sign-on — its IP ranges, a VPN or proxy, or single sign-on — limited to Authorised Users; or (b) a named list of Authorised Users that the Licensee keeps up to date. Under a College Licence, a network or sign-on that also admits people outside the Licensed Unit is not enough on its own; the Licensee must add a named list or a group restriction. The Data must never be placed on a public website, a public repository or a course page open to people who are not Authorised Users.
4.4 Conditions of use. Before an Authorised User first receives Data, the Licensee must give them the conditions in clauses 6 and 7 in writing (for example on the page or folder from which the Data is obtained, accepted at first sign-on, or in a course handbook), and instructors must supervise the use of the Data in their courses. For clause 18.4(c) of the Data Terms, the steps in clause 4.3 and this clause are the reasonable steps the Licensee must take. Where it did not take them, it is responsible for the acts and omissions of its students as for its own (Data Terms clause 5.3).
4.5 Leavers. When a person stops being an Authorised User, the Licensee must end their access within 30 days, and they must stop using the Data and delete the copies they hold, keeping only their Aggregated Results and what clause 8.4 allows.
5. Delivery and fair use
5.1 Data Administrators. The Licensee names up to 3 members of its staff (College) or up to 5 (Campus) as Data Administrators, in the Order Form or later by email from a Data Administrator or the signatory. They hold the accounts through which keys are issued and files are downloaded. Notices go to the address in the Order Form (Data Terms clause 29.2).
5.2 Bulk files. During the Licence Term, the Licensee may download, with a key of this Licence, the current bulk file of each market in Trading Agent Data, with its manifest and ATTRIBUTION.txt, as the Documentation describes, and keep them on its systems for Authorised Users under clause 4.3. Fair use is as many downloads as keeping the Licensee's internal copy current needs. We may limit each key to one download of each market's file a day.
5.3 API keys. Up to 5 keys (College) or up to 15 keys (Campus), or the number stated in the Order Form. Each key is issued to a named Authorised User who is a member of staff or a research student (a doctoral or research-master's candidate), and is kept secret under clause 20 of the Data Terms. A key may be used by software its holder runs on the Licensee's systems for their own research group or course, but must not be given to students or placed in shared code, notebooks or repositories.
5.4 What the keys give. API access, including the as_of query, to every market and the full history we hold, at the Commercial rate limit published in the Documentation (1,000 requests a minute per key at the date of this Version, with no daily cap). The company limit in clause 5.1A of the Commercial Schedule applies to all the keys of this Licence together, as if it were a Commercial Licence. Whole markets come from the bulk files.
5.5 Attribution. The Licensee must keep ATTRIBUTION.txt with every copy of the Data, including its internal copy and copies its Authorised Users take (Data Terms clause 8.2).
5.6 Directly Licensed Data. Nothing in this Schedule restricts Directly Licensed Data (New Zealand charities, Estonia and Australia). Its Source Register licenses it to you directly under an open licence: the Department of Internal Affairs under CC BY 3.0 NZ, RIK under CC BY 4.0, and the Australian Taxation Office under CC BY 3.0 AU (Data Terms clauses 5.1 and 7.4).
6. What Authorised Users may do
6.1 Purposes. Internal Use for the non-commercial research and teaching of the Licensed Unit: (a) research by staff and students, including theses, dissertations and research projects; (b) teaching: classes, coursework, assessment, student projects and teaching materials in credit-bearing courses of the Licensee taught by the Licensed Unit; and (c) creating Derived Data, and training models on the Data, for those purposes (Data Terms clause 24).
6.2 Publications. Papers, theses, dissertations, working papers, books, conference presentations, posters and teaching materials may include Aggregated Results, and Insubstantial Extracts with their Attribution Notices. A thesis deposited in the Licensee's repository is a publication for this clause. Students may keep their Aggregated Results.
6.3 Citation. Every publication that uses the Data, including a thesis, must cite it, for example: WU Capital Limited (year). Trading Agent Data: company fundamentals from official filings [Data set]. Data date [the data date of the files used]. Auckland, New Zealand. https://www.tradingagentapp.com/fundamentals together with the Attribution Notices of the markets used (Data Terms clause 8.3). If a citation is left out, the Licensee must have it added where the publisher allows. A citation must not suggest that we or any Source Register endorse the work (Data Terms clause 8.6).
6.4 Replication packages. A replication package published with a paper or thesis may include code, Aggregated Results, the Attribution Notices of the markets used, a statement of how to obtain the Data from us, and, for the entities and periods in its sample only: (a) their register identifiers; and (b) the variables computed from the Data that its reported results use, provided that no variable contains, or lets a person read, reconstruct or closely approximate, a Company-Period Value (Data Terms clause 2.2(a)(i)). For French Data, only variables derived from dates or status (for example the number of days from period end to filing, or whether the company later entered collective proceedings) may be included, not variables computed from figures. A replication package must not include a copy of the Data, any record of an entity that is a natural person, any Personal Data, or any record listed in the Deletions Feed before the package is published. It is otherwise fixed when published, as clause 11.7 of the Data Terms treats Aggregated Results already made. A market's Source Conditions still apply (Data Terms clause 3.3).
6.5 Co-authors at other institutions. A researcher at another university or public research institution who is a co-author, with a staff member or research student of the Licensed Unit, of a named project may use the Data for that project only. A named project is one named in the Order Form, or a paper or project whose title a Data Administrator tells us by email before the co-author first receives Data for it. For that project, clauses 6 and 7 apply to the co-author as they do to Authorised Users. The co-author may receive only the Data the project needs, must not pass it on except as clauses 6.2, 6.4 and 6.6 allow, and must delete it when the project ends (when its last paper is published or the project is abandoned), or when this Licence ends if that is earlier, keeping only what clauses 6.2 and 6.4 allow. Before a co-author first receives Data, the Licensee must give them these conditions in writing. The Licensee is responsible for each co-author's acts and omissions in relation to the Data as if they were its own (Data Terms clause 5.3).
6.6 Editors and referees. Authorised Users and co-authors under clause 6.5 may give a journal's editors and referees, in confidence, the Data needed to check a paper submitted to that journal, for that review only. They must tell them in writing that the Data is confidential, may be used only for the review and must be deleted when the review ends. The Licensee is responsible for that supply as for its own acts.
7. What is not permitted
7.1 Neither the Licensee nor any Authorised User may: (a) use the Data commercially, including for consulting; for contract or sponsored research in which a sponsor or client receives Data or Derived Data; for a spin-out or any other company; for executive education, corporate training or any course sold to or for a business; or to manage money, including the Licensee's endowment, treasury or pension funds or a student-managed investment fund; (b) Redistribute the Data beyond what clauses 6.2 and 6.4 to 6.6 allow, including by placing it in an open-access or data repository (such as Dataverse, Zenodo, Kaggle, GitHub or the Licensee's own), on a course site open to people who are not Authorised Users, or in a public dashboard, tool or model; (c) give access to the Data, to a key or to the Licensee's internal copy to anyone who is not an Authorised User, including other parts of the Licensee outside the Licensed Unit, other institutions, alumni, and companies owned by or connected with the Licensee; (d) use the Data to create, populate or improve a dataset, database, feed, API or data product that is offered to others or that substitutes for or competes with Trading Agent Data, including a shared research database or data service of a consortium or of several institutions (Data Terms clause 6.1(b)); or (e) do anything else that clause 6 of the Data Terms or the Source Conditions Schedule forbids.
7.2 Sponsors. A sponsor of research may receive publications, and Aggregated Results that do not state values for individual entities.
7.3 Aggregated Results. Clause 5.5 of the Data Terms applies to Aggregated Results made under this Licence as it applies to those made under an Academic Snapshot: they may be used only for the purposes this Licence permits, and published only in the publications it permits.
8. Term, renewal and what happens at the end
8.1 Term. The Licence begins on the Start Date in the Order Form and lasts 12 months (a "Licence Year"), and then for each further Licence Year for which it is renewed.
8.2 Renewal by invoice. This clause changes clause 14.2 of the Data Terms: the Licence does not renew automatically. At least 45 days before the end of each Licence Year we send the Licensee an invoice for the next Licence Year at the Fee that will then apply. The Licence renews for that Licence Year if, before the current one ends, the Licensee pays the invoice or accepts it in writing (an email from a Data Administrator or the signatory, or a purchase order for it, is enough; clause 4.4 of the Data Terms still excludes the purchase order's terms). An accepted invoice is due as clause 14.3 of the Data Terms provides, and clause 16.3(a) of the Data Terms applies if it is not paid. If the Licensee does neither, the Licence ends at the end of the current Licence Year. If the Licensee pays or accepts the invoice within 30 days after that, the Licence is renewed from the end of that Licence Year, with no gap, and we may suspend access until it does.
8.3 Not renewing. The Licensee may decide not to renew by not accepting the invoice, or by telling us. We may decide not to renew under clause 15.1A of the Data Terms, by notice at least 60 days before the end of a Licence Year. No Fee is refunded for part of a Licence Year (Data Terms clause 15.2).
8.4 When the Licence ends. Clause 16.6 of the Data Terms applies: access ends, and within 30 days the Licensee and every Authorised User must stop using the Data and delete it, including the Licensee's internal copy and Derived Data, except as clause 16.6(c) allows. For clause 16.6(c)(v), this Licence is treated as an Academic Snapshot: only the specific Data and Derived Data underlying a result actually published or submitted for examination may be kept, for no longer than, and only to the extent that, the Licensee's written research-integrity policy requires so that the result can be verified.
8.5 Work already submitted. In addition, for a thesis submitted for examination, or a paper submitted to a journal, before the Licence ends, whose title and authors a Data Administrator gives us by email before the Licence ends, its authors may keep and use the Data it uses, for that thesis or paper only (its examination, revision and publication), until it is examined or published, and for no longer than 12 months after the Licence ends. No new Data is supplied. Clauses 4.3, 6, 7 and 9 continue to apply to that Data, and clause 8.4 applies to it when this period ends.
8.6 Certificate. Clause 16.7 of the Data Terms applies. The certificate must identify the copies kept under clauses 8.4 and 8.5.
8.7 No transfer. The Licence stays with the Licensee. Clause 26.2 of the Data Terms does not apply, and the Licence can be transferred only under clause 26.1 of the Data Terms. A researcher who moves to another institution is a leaver under clause 4.5.
9. Withdrawals
9.1 Clause 11 of the Data Terms applies, as it applies to a Subscription (clause 11.3), including clause 11.4 for French Data. A Data Administrator must check the Deletions Feed at least every 30 days, or subscribe to our email notice of new entries, and the Licensee must delete each listed record within 30 days after it is listed, from its internal copy and from copies its Authorised Users hold. Replacing the internal copy with the current bulk file at least every 30 days removes listed records from that copy, but not from copies Authorised Users have taken.
10. Self-certification
10.1 Clause 25.1 of the Data Terms applies. With the statement, the Licensee confirms its Licensed Unit, its access method under clause 4.3, the holders of its keys and where its internal copy is kept.
11. Liability
11.1 Clause 17 of the Data Terms applies. Our total liability for an Academic Institution Licence is limited as clause 17.3(a) of the Data Terms provides: to the Fees paid and payable for it in the 12 months before the event giving rise to the first claim, subject to clauses 17.1 and 19 of the Data Terms. We give no indemnity.
11.2 Universities and public bodies. Clause 18.4 of the Data Terms applies, together with clause 4.4 of this Schedule.
12. If we stop
12.1 Clause 16.5 of the Data Terms applies.
