Snapshot Licence
1. This Schedule
1.1 This is the Schedule for all Snapshot Licences. It incorporates the Data Terms and the Source Conditions Schedule, which rank as set out in clause 3 of the Data Terms. Words defined in the Data Terms have the same meaning here.
2. The Snapshots

2.1 "All markets" means every market in Trading Agent Data at the Vintage.
2.2 The all-markets Snapshot with redistribution is available only by an Order Form signed by both parties. The right of Redistribution that Order Form grants is governed by the Redistribution Schedule (its clause 1.3), and a Snapshot with that right is an Onward Supply Licence (Data Terms clause 2.1). This Schedule grants no right of Redistribution for any Snapshot on its own. On a change of control of the Licensee, or if the Licensee or its group begins to offer a competing data product, clause 26.3 of the Data Terms may end that right, but not the Snapshot itself.
3. The Licensee and ordering
3.1 The Licensee is one person or organisation, named at checkout or in the Order Form: a company or other legal entity, or an individual acting in the course of their own business (including a sole trader). For an Academic Snapshot, it is the named institution, and the named researcher or department is recorded as well.
3.2 A Snapshot may be ordered by online checkout, where offered, or by a signed Order Form (Data Terms clause 4). We record the Licensee, the Snapshot, its markets, its Vintage, and the Version and SHA-256 hash of each document you accepted. We sell an Academic Snapshot only to the institution. It must be bought either by an Order Form signed by a person authorised to contract for the institution, or at checkout giving the institution's legal name, an institutional email address and payment by the institution. We do not sell an Academic Snapshot to a researcher personally.
3.3 Authorised Users. For a Single-market or All-markets Snapshot: the Licensee's employees, and individual contractors working for the Licensee under written confidentiality obligations, in each case using the Data only for the Licensee. There is no limit on their number. Related companies (parents, subsidiaries and sister companies) are not covered unless the Order Form names them. For an Academic Snapshot: the persons in clause 6.1.
4. What is delivered
4.1 For each market: one gzipped CSV file; a manifest with the SHA-256 hash, row and entity counts and the range of filing dates covered; a field-coverage report; and ATTRIBUTION.txt, served at https://www.tradingagentapp.com/api/v1/fundamentals/attribution, with each market's Attribution Notice dated with the data date of that market's Snapshot file, never later than the Vintage and never the date of download (Data Terms clause 8.1; Source Conditions Schedule clauses 2.2 and 2.3). You must save ATTRIBUTION.txt beside the files and keep it with every copy of the Data (Data Terms clause 8.2).
4.2 Delivery is either:
(a) download at https://www.tradingagentapp.com/account/snapshots, signed in to an account named at checkout or in the Order Form. Each visit issues signed download links, valid for a limited time (8 hours at the date of this Version), shown beside each file's SHA-256 hash and a link to its ATTRIBUTION.txt. The files of your Vintage stay available there for at least 90 days after the Delivery Date; or
(b) a copy to a storage location you name. You must give us write access limited to an otherwise empty location created for the delivery, and you are responsible for that location. We do not read anything else stored there and are not your processor for it. We stop using the access once the copy finishes, and delivery is complete when the copy finishes.
4.3 If a delivered file does not match its SHA-256 hash, tell us within 12 months after the Delivery Date and we will deliver it again.
4.4 Each market file will contain the fields and history described for that market in the Documentation on the date of the Order, and will have a data date no earlier than the date stated in the Order Form (or, if none is stated, 31 days before the Vintage). If it does not, tell us within 12 months after the Delivery Date (the period in Data Terms clause 10.5). We will deliver a conforming file within 30 days or, if we cannot, refund the Fees attributable to that market as calculated under Data Terms clause 7.6(b), without the annual reduction.
5. The licence
5.1 Perpetual. A Snapshot Licence has no expiry date. It does not end because we stop trading, or because our business is sold. It ends only as clause 16.1(c) of the Data Terms sets out: for non-payment, a refund or chargeback, a material breach left unremedied after notice (or repeated after notice), a Serious Breach, repudiation or misrepresentation (Data Terms clauses 16.3(e) and 16.10) or a breach of the sanctions clause; if you end it, including for our unremedied breach under clause 16.4(b) of the Data Terms or after we assign the Licence under clause 26.4 of the Data Terms to a sanctioned or competing assignee; or, for the affected Data or market, after an Upstream Change under clause 7.6 of the Data Terms, if we withdraw it under clause 10.3(c) of the Data Terms, if you end it for uncorrected errors under clause 10.5 of the Data Terms, or if a change required from outside materially reduces your rights, with a refund under clause 7.6(b) of the Data Terms.
5.2 What you may do. Within the scope of your Snapshot (clause 2): (a) use, store, process and keep the delivered files permanently for Internal Use; (b) create Derived Data for Internal Use, and train models on the Data (Data Terms clause 24); (c) publish Aggregated Results, subject to clause 5.5 of the Data Terms; and (d) publish Insubstantial Extracts, with their Attribution Notices.
5.3 No Redistribution. You may not Display or otherwise Redistribute the Data, beyond Insubstantial Extracts, to anyone outside the Licensee, unless an Order Form grants a right of Redistribution under clause 2.2.
5.4 The Version is fixed. The Version you accepted governs your Snapshot for life, subject only to clauses 7.6 and 27.3 of the Data Terms (Data Terms clause 27.4).
5.5 New Zealand charities data. Nothing in this Schedule restricts New Zealand Charities Register data. The Department of Internal Affairs licenses it to you directly under CC BY 3.0 NZ (Data Terms clauses 5.1 and 7.4).
6. Academic Snapshots
6.1 Who may use it. Either: (a) the named researcher, and research assistants and students working under that researcher's supervision on that researcher's research; or (b) the academic staff and research students (doctoral and research-master's candidates) of the named department. A department is one academic department, school or research centre with its own head, below the level of a faculty, college or campus; a faculty, college, campus or the institution as a whole is not a department.
6.2 Purposes. Non-commercial research. Teaching, coursework and taught-student projects are not included unless the Order Form expressly adds them. Not for a whole university; not for consulting, a commercial project or a spin-out company; and not for sponsored research in which the sponsor receives the Data. A sponsor may receive publications, and Aggregated Results that do not state values for individual entities.
6.3 Teaching, where added. If the Order Form adds teaching, students enrolled in the courses named in it may use the Data within those courses. They must not keep copies after the course, although they may keep their Aggregated Results.
6.4 Publications. Papers, theses, working papers and teaching materials may include Aggregated Results, and Insubstantial Extracts with their Attribution Notices.
6.5 Replication packages. Replication packages must not include Data or Derived Data. They may include code, Aggregated Results, and a statement of how to obtain the same Vintage from us. While we supply Trading Agent Data, we keep a copy of every Vintage sold under this Schedule. From it we delete every French record listed in the Deletions Feed and every record listed for a reason in clause 11.1(b), (c) or (d) of the Data Terms (Data Terms clause 12.7). We will license that Vintage, so reduced, on our then-current Academic terms to the institution of a researcher who needs it to reproduce a published result, ordered as clause 3.2 requires. Its manifest will state how many records were removed after the Vintage was first delivered.
6.6 If the researcher moves. Clause 26.2 of the Data Terms applies.
6.7 Tax. Clause 14.10(c) of the Data Terms (gross-up) does not apply to an Academic Snapshot or its Update Packs. We accept the net amount if tax is withheld, provided you give us the official withholding receipt.
7. No updates, except Update Packs
7.1 A Snapshot is frozen at its Vintage. It includes no API access, no data that became public after the Vintage, and no later restatements.
7.2 Definitions. An "Update Pack" is one fresh Vintage of the same Snapshot, with the same markets and scope, licensed as part of that Snapshot and delivered on payment. Update Pack Vintages are licensed under the Version that governs your original Snapshot, unless you accept a later Version in writing. "Purchase Price" means the list price of the Snapshot stated in the Order, before any credit under clause 8 or any discount. "Update Year" means each 12-month period beginning on the Delivery Date of the original Snapshot or an anniversary of it.
7.3 Price. While Update Packs are continuous, each costs 20% of the Purchase Price, and you may order one in each Update Year; its Vintage is no earlier than the date we receive payment. Update Packs are continuous only if you have ordered one in every Update Year since the original Delivery Date, or within 30 days after the end of that Update Year. Otherwise the next Update Pack costs 50% of the then-current list price of that Snapshot, and later Update Packs cost 20% of that then-current list price for as long as they remain continuous from that point. No Update Pack is backdated, and a Vintage you did not order is not supplied later.
7.4 New markets. An Update Pack for an Academic or All-markets Snapshot includes a market that was not in the original Snapshot only if you accept in writing the Source Conditions Schedule Version then current for that market. Otherwise it contains only the markets in the original Snapshot.
7.5 Tax. An Update Pack for an Academic Snapshot is part of that Academic Snapshot for clause 14.10(c) of the Data Terms.
8. Credit for Subscription Fees
8.1 Fees for a Personal or Commercial Subscription, excluding Taxes, that the same Licensee paid us in money in the 12 months before ordering a Snapshot are credited in full against the Snapshot's Purchase Price. Fees for a Redistribution Licence or an OEM Agreement are not credited, and no credit applies to the All-markets Snapshot with redistribution, unless an Order Form names this clause and states the credit. Ask for the credit before you order: for an online order we issue a single-use checkout code, and for an Order Form the credit is shown in section 3. Each Fee can be credited once. The credit cannot exceed the Purchase Price, cannot be paid out in cash, and does not apply to Update Packs. For clause 17.3(b) and (d) of the Data Terms, an amount credited counts as Fees paid for the Snapshot; refunds follow clause 8.3.
8.2 Once credited, a Fee is no longer refundable. Any later refund of that Subscription, under any clause of the Data Terms, is reduced by the amount credited. If a credited Fee is reversed by chargeback or payment dispute, the credit is cancelled and that amount becomes payable for the Snapshot within 14 days, and clause 16.3(a) of the Data Terms applies if it is not paid.
8.3 Any refund of a Snapshot's Fees under the Data Terms, including clauses 7.6(b), 10.3, 10.5, 16.4(b), 16.5, 26.3, 26.4 and 27.3, is calculated on the amount you paid in money for the Snapshot, not on the credit.
9. Withdrawals
9.1 Clause 11 of the Data Terms applies. In summary: we email you about register withdrawals and corrections affecting your Snapshot for 12 months after the Delivery Date; we email you about records removed because they relate to a natural person, because of an objection or because of a legal requirement for as long as your Snapshot Licence is in force and we supply Trading Agent Data; for as long as you hold French Data, and for those records, you must check the Deletions Feed at least every 30 days (or subscribe to our email notice) and delete listed records within 30 days; you may otherwise keep your Snapshot as a record of what the registers published at its Vintage. Entries for records removed for those reasons are available only through a key issued to you, never through the public demo key; you may ask us to link a free key to your Snapshot (Data Terms clause 11.2). If your Snapshot has a right of Redistribution, clause 11.10 of the Data Terms also applies, including its 2-Business-Day feed check and its 5-Business-Day deadline for records marked "delete".
10. Corrections
10.1 If we correct an extraction error affecting your Vintage within the period in clause 10.5 of the Data Terms, we deliver the corrected rows for that Vintage free of charge.
11. Fees, payment and refunds
11.1 Prices exclude Taxes (Data Terms clause 14). Unless the Order Form says otherwise, we deliver after the Order Form is signed (for invoiced sales) and payment is received.
11.2 You may cancel for a full refund before the Delivery Date. After the Delivery Date there is no refund, except as clause 15.2 of the Data Terms provides. A refund or chargeback ends the Licence (Data Terms clause 15.4).
12. Liability
12.1 Our total liability for a Snapshot is limited to the Fees paid for it and for its Update Packs, counting any credit under clause 8 as Fees paid (Data Terms clause 17.3(b)), subject to clauses 17.1 and 19 of the Data Terms.
12.2 Universities and public bodies. Clause 18.4 of the Data Terms applies.
13. If we stop
13.1 If we stop trading or discontinue Trading Agent Data, your licence to use your Snapshot for Internal Use continues unchanged, but our other obligations to you end, except that we will first email and publish final copies of the Deletions Feed (Data Terms clause 11.2). If your Snapshot has a right of Redistribution, you may continue to Display its Data for no more than 12 months, and we refund the part of its price for that right, as clause 16.5 of the Data Terms provides. If our business is sold, the buyer takes on our obligations (Data Terms clause 26.4).
